1. NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into on this ___ day of ____, 20, by and between:

Sidigiqor Technologies OPC Private Limited, a private limited company incorporated under the Companies Act, 2013, having its registered office at Panchkula, Haryana, India (hereinafter referred to as the “Disclosing Party”), and _______________, having its registered office at ______________________ (hereinafter referred to as the “Receiving Party”).

Purpose: The parties wish to explore a potential business relationship involving the services of the Disclosing Party, such as Computer AMC Services, IT Infrastructure Development, Digital Marketing, Cybersecurity Consultancy, Website Development, and other technical support services. In connection with this, either party may disclose to the other certain confidential and proprietary information.

1. Definition of Confidential Information: “Confidential Information” shall include but is not limited to any technical, financial, business, or proprietary information, trade secrets, designs, source code, client data, operational processes, pricing structures, business plans, and other information disclosed in oral, written, or electronic form.

2. Obligations of Receiving Party:

Maintain all Confidential Information in strict confidence using the same degree of care as used for own confidential information.

Not disclose Confidential Information to any third party without prior written consent.

Use Confidential Information solely for evaluating or pursuing a business relationship.

3. Exceptions:

Information in the public domain

Information already known to the receiving party without breach

Information independently developed by the receiving party

4. Duration: This Agreement shall remain in force during the discussions and shall continue for a period of three (3) years after termination of the business relationship.

5. Return of Materials: Upon termination, all documents, records, and copies of Confidential Information shall be returned or destroyed.

6. Legal Remedies: The disclosing party shall be entitled to seek injunctive relief, compensation for damages, and other remedies available under law in the event of breach.

2. EXCLUSIVE SERVICE AGREEMENT

This Exclusive Agreement is made on this ___ day of ____, 20 by and between:

Sidigiqor Technologies OPC Private Limited, Panchkula, Haryana (“Service Provider”), and ___________ (“Client”).

Scope of Engagement: The Client agrees to exclusively appoint the Service Provider for providing one or more of the following services:

Computer AMC Services

Cybersecurity Consultancy

Digital Marketing Services

IT Infrastructure Management

Software and Website Development

3. Exclusivity: Client agrees not to engage or appoint any third party for the above services during the term of this agreement.

4. Duration: This agreement shall remain valid for a period of __ months/years from the date of signing.

5. Service Charges: Charges and deliverables are detailed in the annexed proposal. Payments shall be made within 15 days of invoice receipt.

6. Termination:

Either party may terminate this agreement by providing 30 days’ written notice.

Immediate termination in case of breach, insolvency, or misconduct.

7. Confidentiality & IP: All deliverables created shall remain the property of the client upon full payment. Confidentiality obligations survive termination.

8. Dispute Resolution: All disputes shall be subject to the jurisdiction of Panchkula courts.

3. NON-COMPETE AGREEMENT

This Non-Compete Agreement is made on the ___ day of ____, 20 by and between:

Sidigiqor Technologies OPC Private Limited, Panchkula (“Company”), and ____________ (“Recipient”).

1. Purpose: To prevent unfair competition and misuse of confidential business strategies, customer base, and operational know-how.

2. Non-Compete Clause: Recipient agrees not to start, join, or assist any business that directly or indirectly competes with the business of Sidigiqor Technologies in the fields of IT Services, AMC, Cybersecurity, Digital Marketing, and IT Infrastructure within India and GCC regions for a period of 2 years after termination of relationship.

3. Non-Solicitation: Recipient agrees not to solicit or attempt to solicit clients, vendors, or employees of Sidigiqor Technologies during the same non-compete period.

4. Legal Remedies: Violation may result in legal action, damages, and permanent injunction.

5. Severability: If any part of this agreement is held invalid, the remaining parts shall remain enforceable.

4. EQUIPMENT SUPPLY & MAINTENANCE AGREEMENT

This Agreement is entered on ___ day of ____, 20 by and between:

Sidigiqor Technologies OPC Private Limited (“Supplier”) and __________ (“Client”).

1. Scope: Supplier agrees to deliver, install, and maintain the following equipment:

Computers, Laptops, Servers

Printers, Routers, Network Devices

CCTV Systems, Biometric Devices

Air Conditioners and allied components

2. Payment Terms:

Equipment: 50% advance, 50% on delivery

AMC: Payable monthly/annually in advance

3. Warranty & Support:

Manufacturer’s warranty will apply to supplied equipment

AMC includes preventive & corrective maintenance

Services include remote and onsite support with TAT of 24–48 hours

4. Service Exclusions:

Electrical issues, user mishandling, or third-party tampering

5. Replacement Policy:

Faulty equipment under warranty will be replaced free of cost

Out-of-warranty replacements will be charged additionally

6. Liability: Sidigiqor Technologies is not liable for any business losses or data loss arising due to equipment failure.

5. SOFTWARE LICENSE AGREEMENT

This License Agreement is made on the ___ day of ____, 20 by and between:

Sidigiqor Technologies OPC Private Limited, Panchkula (“Licensor”), and __________ (“Licensee”).

1. Grant of License: Licensor grants a non-exclusive, non-transferable license to the Licensee to use the software developed for their internal use only.

2. Ownership: All intellectual property rights and copyrights shall remain solely with the Licensor.

3. Scope of Use:

Software may be used on a specified number of devices/users

Not to be resold, rented, or sublicensed

4. Updates & Support: Support shall be provided for a period of 12 months unless specified otherwise.

5. Restrictions:

No reverse engineering, decompiling, or unauthorized modifications

6. Termination:

Immediate if Licensee breaches terms

License automatically ends after agreed duration

7. Indemnity: Licensee shall indemnify Licensor from any third-party claims due to misuse
